1. INTERPRETATION AND DEFINITIONS
1.1. In these Terms and Conditions ("Terms"), unless the context otherwise requires:(a) "Company", "MetaFin", "we", "us", or "our" refers to MetaFin Sdn. Bhd. (b) "Platform" refers to the MetaFin digital marketplace, including the website https://metafin.com.my, mobile application, and any associated digital interfaces; (c) "Provider(s)" refers to licensed insurance and takaful operators, corporate agencies, lifestyle service vendors, digital solution providers, merchants, and third-party entities whose products or services are listed on the Platform; (d) "User", "purchaser", or "visitor" refers to any individual or entity accessing, browsing, or transacting via the Platform; (e) "Product(s)" or "Service(s)" refers to insurance policies, takaful certificates, lifestyle offerings, digital solutions, vouchers, consultations, or any other items made available via the Platform; (f) "Transaction" refers to any inquiry, quotation, application, purchase, or engagement initiated through the Platform; (g) "App Store" refers to Apple App Store, Google Play Store, or any other third-party application distribution platform through which the Platform may be accessed; (h) "User Content" refers to any text, images, audio, video, feedback, ideas, or other materials submitted, uploaded, or transmitted by Users via the Platform.
1.2. Headings are for convenience only and shall not affect interpretation. References to statutory provisions include amendments and re-enactments thereof.2. ACCEPTANCE OF TERMS 2.1. Access to or use of the Platform constitutes unconditional acceptance of these Terms, the Privacy Policy, the Cancellation and Refund Policy, and any additional guidelines published on the Platform (collectively, the "Agreement"). 2.2. Users who do not agree to be bound by the Agreement must discontinue use of the Platform immediately. 2.3. MetaFin reserves the right to modify, suspend, or discontinue any aspect of the Platform or the Agreement at any time without prior notice. Continued use following amendments constitutes acceptance of the revised terms. 2.4. If accessing the Platform via a mobile application, Users further agree to comply with the applicable terms of the relevant App Store. The respective App Store and its subsidiaries are intended third-party beneficiaries of these Terms with respect to the App, and shall have the right to enforce these Terms as such. 3. NATURE OF PLATFORM AND INTERMEDIARY CAPACITY 3.1. MetaFin Sdn. Bhd. is a software development company that operates a neutral digital marketplace platform. The Company is not an insurer, takaful operator, underwriter, financial adviser, manufacturer, service provider, or a principal to any transaction. MetaFin is not licensed under the Financial Services Act 2013 or the Islamic Financial Services Act 2013. All insurance and takaful products made available on the platform are underwritten and administered solely by licensed providers. 3.2. All Products and Services listed on the Platform are offered, administered, and fulfilled exclusively by independent Providers. MetaFin does not endorse, guarantee, or assume responsibility for the quality, legality, suitability, or performance of any Provider or Product. 3.3. Contractual relationships for Products or Services are formed directly between the User and the relevant Provider. MetaFin is not a party to such contracts and shall not be liable for any breach, default, or dispute arising therefrom. 3.4. Providers listing on the Platform are required to hold valid licences or authorisations under applicable Malaysian law, including but not limited to the Financial Services Act 2013 (FSA) and/or the Islamic Financial Services Act 2013 (IFSA) administered by Bank Negara Malaysia (BNM), where applicable. MetaFin makes no representation as to the ongoing regulatory compliance of any Provider. 3.5. The Platform does not constitute, and shall not be relied upon as, financial, legal, tax, insurance, or investment advice. All information provided is for general informational purposes only. Users are strongly advised to seek independent professional advice before making any financial or insurance-related decisions. 4. USER ELIGIBILITY AND ACCOUNT OBLIGATIONS 4.1. Access to the Platform is restricted to individuals who are at least eighteen (18) years of age and possess the legal capacity to enter into binding agreements under Malaysian law. 4.2. Users registering for an account shall provide accurate, current, and complete information and shall promptly update any changes. 4.3. Users are solely responsible for maintaining the confidentiality of account credentials and for all activities conducted under their account. Any unauthorised use must be reported immediately to inquiries@metafin.com. 4.4. MetaFin reserves the right to suspend or terminate accounts, with or without notice, for suspected fraud, breach of these Terms, or activities deemed detrimental to the Platform or its Users. 5. PRODUCT LISTINGS, PRICING, AND AVAILABILITY 5.1. Product descriptions, specifications, pricing, premiums, benefits, and availability displayed on the Platform are provided by Providers and are subject to change without prior notice. 5.2. MetaFin does not warrant that Product information is accurate, complete, current, or error-free. In the event of typographical errors, pricing inaccuracies, or system malfunctions, MetaFin reserves the right to cancel, suspend, or correct any Transaction affected by such errors. 5.3. Display of a Product on the Platform does not constitute an offer or solicitation by MetaFin. All offers originate from Providers and are subject to their acceptance, underwriting approval, and terms. 5.4. Promotional vouchers, MetaPoints, discounts, or bundle offerings are subject to separate terms and conditions specified at point of redemption and may be non-refundable, non-transferable, or expire without notice. 5.5. Any quotation, illustration, or benefit summary displayed on the Platform is indicative only and does not constitute a binding offer, contract, or certificate of insurance. Final coverage, premiums, and terms are subject to underwriting approval and issuance by the relevant Provider. 5.6. Users acknowledge and agree that they have a duty to take reasonable care not to make a misrepresentation when completing any application via the Platform. Failure to disclose material facts or provide inaccurate information may result in avoidance of the contract, claim rejection, or policy termination by the Provider. 6. PAYMENTS AND TRANSACTION PROCESSING 6.1. All Transactions are subject to payment in full via methods made available on the Platform, including credit/debit cards, online banking, e-wallets, or other approved channels. 6.2. Payment authorisation is subject to validation by the User's financial institution. MetaFin disclaims liability for delays, failures, or rejections arising from third-party payment processors. 6.3. Upon successful payment, Users shall receive a transaction confirmation. However, issuance of a policy, certificate, voucher, or service activation remains at the sole discretion of the relevant Provider and is governed by their terms. 6.4. All fees, premiums, or charges are non-refundable except as expressly provided under the Cancellation and Refund Policy or mandated by applicable law. 7. INTELLECTUAL PROPERTY RIGHTS 7.1. All content on the Platform, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, is the property of MetaFin or its content suppliers and is protected by Malaysian and international intellectual property laws. 7.2. Users are granted a limited, non-exclusive, non-transferable, and revocable licence to access and use the Platform for personal, non-commercial purposes, subject to these Terms. 7.3. Unauthorised reproduction, distribution, modification, display, or creation of derivative works from any Platform content is strictly prohibited without prior written consent from MetaFin or the respective rights holder. 8. USER CONDUCT AND PROHIBITED ACTIVITIES 8.1. Users shall not: (a) use the Platform for any unlawful purpose or in violation of any applicable law, regulation, or third-party right; (b) submit false, misleading, defamatory, obscene, or infringing content, comments, or feedback; (c) attempt to interfere with, disrupt, or compromise the security, functionality, or integrity of the Platform; (d) engage in data scraping, automated querying, or any activity that imposes unreasonable load on Platform infrastructure; (e) impersonate any person or entity, or misrepresent affiliation with MetaFin or any Provider. (f) use the Platform to engage in money laundering, terrorist financing, or any activity prohibited under the Anti-Money Laundering, Anti-Terrorism Financing and Proceeds of Unlawful Activities Act 2001 (AMLA) or other applicable Malaysian laws; (g) attempt to gain unauthorised access to the Platform, other Users' accounts, or MetaFin's or Providers' systems, networks, or data. 8.2. Any User Content submitted to the Platform shall remain the property of the User; however, by submitting such content, Users grant MetaFin a non-exclusive, royalty-free, worldwide, perpetual, transferable, and sub-licensable licence to use, reproduce, modify, adapt, publish, translate, distribute, and display such content for the purpose of operating, promoting, and improving the Platform. 8.3. MetaFin reserves the right to remove any user-generated content, with or without notice, that is deemed to violate these Terms or applicable law. 9. PRIVACY AND DATA PROTECTION 9.1. Personal data collected via the Platform shall be processed in accordance with MetaFin's Privacy Policy and the Personal Data Protection Act 2010 (PDPA). 9.2. Users consent to the collection, use, and disclosure of personal data for purposes including Transaction processing, Provider liaison, regulatory compliance, fraud prevention, and Platform improvement. 9.3. Certain Transactions may require disclosure of personal data to Providers or third-party service providers. Users acknowledge and agree to such disclosures as necessary for fulfilment of the requested Product or Service. 9.4. By using the Platform, Users consent to receive transaction confirmations, policy documents, notices, and other communications in electronic form. Users may withdraw consent to receive electronic records by notifying MetaFin in writing at inquiries@metafin.com. 10. DISCLAIMERS AND LIMITATION OF LIABILITY 10.1. THE PLATFORM AND ALL PRODUCTS, SERVICES, AND CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. 10.2. METAFIN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 10.3. METAFIN'S TOTAL AGGREGATE LIABILITY TO ANY USER FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY THE USER TO METAFIN FOR THE SPECIFIC TRANSACTION GIVING RISE TO THE CLAIM, IF ANY. 10.4. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY FOR FRAUD, FRAUDULENT MISREPRESENTATION, DEATH OR PERSONAL INJURY RESULTING FROM NEGLIGENCE, OR ANY OTHER LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE MALAYSIAN LAW. 10.5. METAFIN SHALL NOT BE LIABLE FOR ANY LOSS, DAMAGE, OR DELAY ARISING FROM: (A) THE ACTS, OMISSIONS, OR DECISIONS OF ANY PROVIDER, APP STORE, PAYMENT PROCESSOR, OR REGULATORY AUTHORITY; (B) USERS' FAILURE TO COMPLY WITH PROVIDER REQUIREMENTS OR STATUTORY DISCLOSURE OBLIGATIONS; OR (C) FORCE MAJEURE EVENTS BEYOND METAFIN'S REASONABLE CONTROL. For the avoidance of doubt, "force majeure" includes acts of God, war, riot, civil commotion, fire, flood, earthquake, epidemic, pandemic, government action, strike, lockout, or failure of telecommunications, internet, or power infrastructure.
11. INDEMNIFICATION 11.1. Users agree to defend, indemnify, and hold harmless MetaFin, its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or relating to: (a) User's breach of these Terms; (b) User's use of the Platform or any Product/Service; (c) User's violation of any third-party right, including intellectual property or privacy rights; or (d) User's misrepresentation or negligent act or omission. 11.2. If Users access or use the Platform on behalf of a corporation, partnership, or other legal entity, such entity agrees to be bound by these Terms and to indemnify MetaFin as set forth herein, jointly and severally with the individual User. 12. THIRD-PARTY LINKS AND EXTERNAL CONTENT 12.1. The Platform may contain links to third-party websites, applications, or services that are not owned or controlled by MetaFin. 12.2. Access to such external resources is at the User's own risk. MetaFin disclaims all responsibility for the content, privacy policies, practices, or terms of any third-party site. 12.3. Inclusion of any link does not imply endorsement, affiliation, or warranty by MetaFin. 12.4. Users expressly release MetaFin from any and all liability arising from their access to or use of any third-party website, service, or content, including but not limited to claims for infringement, defamation, negligence, or breach of contract. 13. ACCURACY OF INFORMATION AND ERROR CORRECTION 13.1. While reasonable efforts are made to ensure information on the Platform is accurate, MetaFin does not warrant that content is free from errors, omissions, or outdated material. 13.2. MetaFin reserves the right to correct, update, or remove any information, pricing, or Product listing at any time without prior notice. 13.3. Users are encouraged to verify critical details directly with the relevant Provider prior to completing any Transaction. 14. SUSPENSION AND TERMINATION 14.1. MetaFin may suspend or terminate a User's access to the Platform, in whole or in part, immediately and without notice, for any reason, including suspected breach of these Terms, unlawful conduct, or operational necessity. 14.2. Upon termination, all licences granted herein shall cease, and Users must discontinue all use of the Platform. Provisions of these Terms that by their nature should survive termination (including disclaimers, limitation of liability, indemnification, and governing law) shall remain in full force and effect. 15. CANCELLATION, REFUND, AND POST-TRANSACTION MATTERS 15.1. All matters relating to cancellation, refund eligibility, surrender value, service termination, or post-purchase adjustments are governed exclusively by the MetaFin Cancellation and Refund Policy and the terms of the relevant Provider. 15.2. Users are expressly advised to review the applicable Product Disclosure Statement (PDS), Policy Wording, Terms of Service, or Vendor Agreement prior to Transaction completion. 16. ASSIGNMENT 16.1. MetaFin reserves the right to assign, transfer, or delegate any of its rights or obligations under these Terms, in whole or in part, to any affiliate, successor, or third party, with or without notice to Users. 16.2. Users shall not assign, transfer, or delegate any rights or obligations under these Terms without MetaFin's prior written consent. Any attempted assignment in violation of this clause shall be null and void. 17. GOVERNING LAW AND DISPUTE RESOLUTION 17.1. These Terms shall be governed by and construed in accordance with the laws of Malaysia. 17.2. Any dispute, controversy, or claim arising out of or relating to these Terms or the use of the Platform shall first be subject to good-faith negotiations between the parties. 17.3. If unresolved within thirty (30) days, the dispute shall be submitted to the exclusive jurisdiction of the courts of Malaysia, save that MetaFin reserves the right to seek injunctive or equitable relief in any competent jurisdiction to protect its intellectual property or Platform integrity. 18. AMENDMENTS AND SEVERABILITY 18.1. MetaFin reserves the right to amend these Terms at any time by posting the revised version on the Platform. The "Last Updated" date shall indicate the effective date of the most current version. 18.2. Users are responsible for periodically reviewing these Terms. Continued use of the Platform following amendments constitutes acceptance of the revised Terms. 18.3. If any provision of these Terms is held to be invalid, illegal, or unenforceable under applicable law, such provision shall be deemed severed, and the remainder of the Terms shall remain in full force and effect. 19. ENTIRE AGREEMENT AND CONTACT 19.1. These Terms, together with the Privacy Policy, Cancellation and Refund Policy, and any additional published guidelines, constitute the entire agreement between the User and MetaFin concerning the subject matter herein and supersede all prior representations, understandings, or agreements. 19.2.
